ALPHA IVF MANILA INC. Terms and Conditions for Service

These Terms and Conditions ("Terms") constitute a legally binding agreement between ALPHA IVF MANILA INC. ("the Clinic," "we," "us," or "our") and the patient, client, or user ("Client," "you," or "your") accessing or receiving our fertility and reproductive healthcare services.

1. Acceptance of Terms

By booking an appointment, undergoing consultation, or engaging in any fertility treatment or service provided by the Centre, you acknowledge that you have read, understood, and agree to be bound by these Terms and our separate Privacy Policy.

2. Services Provided

The Clinic provides specialized reproductive health services, including but not limited to:

• In Vitro Fertilization (IVF), Intracytoplasmic Sperm Injection (ICSI).

• Intrauterine Insemination (IUI).

• Fertility Assessments and Diagnostics.

• Oocyte, Sperm, and Embryo Cryopreservation (freezing and storage).

• Genetic Screening and Counseling.

The precise nature and scope of services provided will be detailed in a separate, individualized Treatment Agreement or Consent Form signed prior to the commencement of any medical procedure.

3. Client Responsibilities and Obligations

A. Disclosure: You must provide complete, accurate, and truthful information regarding your medical history, current health status, and any changes thereto throughout the course of treatment. Failure to disclose critical information may result in delayed treatment, inaccurate advice, or adverse outcomes. B. Compliance: You must strictly follow all instructions given by the Clinic’s medical staff, including medication regimens, appointment schedules, and lifestyle recommendations. C. Consent: You acknowledge that all invasive procedures, handling of gametes (sperm/eggs), and use of embryos require separate, informed, and written consent. You have the right to withdraw consent at any time prior to the procedure, subject to applicable cancellation fees.

4. Financial Terms and Payment

A. Fees and Charges: All fees for consultations, diagnostic tests, procedures, and storage services are provided in a separate Fee Schedule. Fees are subject to change upon notice by the Clinic. B. Payment: All payments must be made in accordance with the payment schedule specified in your Treatment Agreement. The Clinic reserves the right to suspend treatment or services, including the release of laboratory results or medical records, if payment obligations are not met, subject to emergency and legal restrictions. C. Non-Refundable Deposits: Deposits required to secure certain procedures are generally non-refundable unless otherwise stipulated in the Treatment Agreement. D. Storage Fees: Cryopreservation (storage) services require continuous payment of annual storage fees. Failure to pay storage fees may result in the Clinic initiating the legal disposal or abandonment protocol for the stored materials, strictly adhering to Philippine law and DOH regulations, after proper notification.

5. Medical Disclaimer and Limitation of Liability

A. No Guarantee of Success: Fertility treatments, including IVF, are complex medical procedures, and the Clinic does not guarantee pregnancy or live birth. Success rates are based on statistical averages and are influenced by numerous biological factors specific to each Client. B. Assumption of Risk: You acknowledge and accept that medical procedures carry inherent risks, including the risks of adverse drug reactions, infection, multiple pregnancy, or procedural complications, as detailed in the separate informed consent documents. C. Limitation of Liability: To the fullest extent permitted by Philippine law, the Clinic, its directors, officers, employees, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, arising out of or related to your use of our services, except in cases of proven gross negligence or willful misconduct on the part of the Clinic. The Clinic’s total aggregate liability shall be limited to the total fees paid by the Client for the specific treatment cycle or service from which the claim arose.

6. Embryo and Gamete Disposition

The disposition (continued storage, use, donation, or legal disposal) of stored gametes (sperm/eggs) and embryos is a critical matter that is governed by the specific instructions provided by the Client and recorded in the separate Storage and Disposition Agreement. The Clinic will follow these explicit instructions. In the event of death, divorce, or incapacitation, disposition will be handled strictly according to the legal and notarized instructions provided by the Client.

7. Intellectual Property

All content, logos, designs, website materials, proprietary medical protocols, and internal documentation of the Clinic are the exclusive property of ALPHA IVF MANILA INC. and are protected by applicable intellectual property laws. You may not use, reproduce, or distribute any such material without prior written consent.

8. Governing Law and Dispute Resolution

A. Governing Law: These Terms shall be governed by and construed in accordance with the laws of the Republic of the Philippines, without regard to its conflict of law principles. B. Dispute Resolution: Any dispute, controversy, or claim arising out of or relating to these Terms or the services provided shall first be resolved through good faith negotiation. If negotiation fails, the parties agree to submit the dispute to mediation in Metro Manila, Philippines. If mediation fails, the dispute shall be submitted to the exclusive jurisdiction of the competent courts of Quezon City, Philippines.

9. Amendments

The Clinic reserves the right to amend these Terms at any time. We will notify you of material changes by posting the updated Terms on our website or through direct communication. Your continued use of the services after such notification constitutes your acceptance of the revised Terms.

Anti-Bribery and Corruption Policy

ALPHA IVF MANILA INC. upholds the highest standards of professional integrity and ethical conduct required of every ALPHA IVF MANILA INC. partner, officer, employee, and third party who performs services for or on behalf of ALPHA IVF MANILA INC.

Anti-Bribery and Anti-Corruption Policy, all employees are required to comply with the Anti-Graft and Corrupt Practices Act (Republic Act No. 3019), the relevant provisions of the Revised Penal Code, and all guidelines issued by pertinent Philippine authorities (such as the Office of the Ombudsman), pertaining to the prevention of graft and corruption.

The anti-bribery and anti-corruption policy generally prohibit giving or offering anything of value to improperly influence business decisions or to obtain improper business advantages.

ALPHA IVF MANILA INC. expects that all parties engaged by ALPHA IVF MANILA INC. or performing work or services for or on behalf of ALPHA IVF MANILA INC. will comply with it in relevant part when performing such work or services.
